Formation of Limited Liability Company (LLC)

The following are included:

• Initial phone or Zoom conference to discuss the business and decided on all required terms, like the company name.
• Drafting the Certificate of Formation, and conferring to confirm all is correct.
• Filing the Certificate of Formation with the Secretary of State. Flat Fee also includes a $325.00 filing fee ($300 filing fee and $25 expedited fee).
• Upon acceptance, we deliver the Certificate of Filing to you (this is the proof that your entity exists).
• Drafting a semi-custom company agreement to govern your new entity, inluding up to 2 revisions.
• Drafting a Unanimous Written Consent in Lieu of an Organizational Meeting to approve the Company Agreement and authorize business to consent, appointing officers and other necessary action (necessary for opening bank accounts).
• Providing directions for you to obtain your EIN from the IRS.
• Providing directions on the annual maintenance of your new entity.

What is NOT included:

• Any filing fees beyond the $325.00 mentioned above.
• A fully custom company agreement.
• Any work beyond what is stated above.
   

Once you purchase the package, we will be notified. We will contact you to set up the initial phone or Zoon conference. At the conference, we will obtain the necessary information to form your entity. We will also make a plan for scheduling the work.
