- Initial phone or Zoom conference to discuss the business and decided on all required terms, like the company name.
- Drafting the Certificate of Formation, and conferring to confirm all is correct.
- Filing the Certificate of Formation with the Secretary of State. Flat Fee also includes a $325.00 filing fee ($300 filing fee and $25 expedited fee).
- Upon acceptance, we deliver the Certificate of Filing to you (this is the proof that your entity exists).
- Drafting a semi-custom company agreement to govern your new entity, inluding up to 2 revisions.
- Drafting a Unanimous Written Consent in Lieu of an Organizational Meeting to approve the Company Agreement and authorize business to consent, appointing officers and other necessary action (necessary for opening bank accounts).
- Providing directions for you to obtain your EIN from the IRS.
- Providing directions on the annual maintenance of your new entity.
