Formation of Corporation (S-Corp)

The following are included:

• Initial phone or Zoom conference to discuss the business and decide on all required terms, like the company name.
• Drafting the Certificate of Formation, and conferring to confirm all is correct.
• Filing the Certificate of Formation with the Secretary of State. The Flat Fee includes the $325.00 filing fee (which includes the $25.00 expedited fee).
• Upon acceptance by the Secretary of State, we deliver to you the Certificate of Filing (which is the acknowledgment that your entity has been formed).
• Drafting a semi-custom Bylaws to govern your new entity, including up to 2 revisions.
• Drafting a Unanimous Written Consent in Lieu of an Organizational Meeting to approve the Bylaws, authorize a business to conduct business, appoint officers, and other necessary actions (necessary for opening bank accounts).
• Providing directions for you to obtain your EIN from the IRS.
• Providing directions on the annual maintenance of your new entity.

What is NOT included:

• Any filing fees beyond the $325.00 mentioned above.
• A fully custom Bylaws.
• Any work beyond what is stated above.

Once you purchase the package, we will be notified. We will contact you to set up the initial phone or Zoon conference. At the conference, we will obtain the necessary information to form your entity. We will also make a plan for scheduling the work.
